Florida LLC must comply with signature procedures when entering lease

In Florida, a limited liability company (LLC), which provides leasing or other type of real estate transportation, in compliance with the two witness requirements of Florida State Legal Section 689.01, together with the signature of the two witness signatures of the management member You must have it. Otherwise, leasing or disposal of other property becomes unenforceable.

Florida statue 689.01 manages the carriage of real estate, including leases of more than a year. Paragraph 689.01 states that in the case of rental agreements of one year or more, there must be a "document in which two parties have signed a grant". However, it specifies an exception stipulating that an enterprise can be transported in accordance with the provisions of 689.01 or 692.01 or 692.02 which controls transportation and does not have the requirement of two evidences of 689.01.

Florida State Limited Liability Company Act 608 Chapter Florida State Act ("Law") also does not have the same provision. This Act stipulates that LLC will dispose of real estate and enter into lease agreements. It also stipulates that LLC members and managers sign and offer any products that transfer or affect LLC 's interest in real estate.

We provide a person who can do lease on behalf of LLC, but it does not prescribe the transfer of real estate completely covered by paragraph 689.01. Therefore, the Florida court considered Florida state law 689.01, unlike corporations, the LLC discovered that it must comply with the strict two witness requirements procedures set out in Article 689.01. Therefore, commercial leases acquired by LLC in Florida need to be entered in the presence of two affiliated witnesses.
