
The Anthony Mancuso lawyer's Corporate Records Handbook: Meetings, Minutes & Resolutions is a 600 page resource book showing the content of the cover page. This is a very good book of forms that allows readers to document everything necessary to leave a record to keep the embedded business, using the books. This is not a helpful book to incorporate your business. In fact, Mancuso wrote another book, "Incorporate your business" to support business formation. This book is after your company is formed and needs to be helpful in continuously fulfilling business problems. This book is published by Nolo. In other words, not only lawyers but also anyone can easily understand it is written in common terms. I am a licensed lawyer, but I really like books Nolo has issued. They are similar to ordinary people and lawyers. And this book is truly a wonderful book.
This book is intended for companies that hold and document corporate meetings of shareholders and directors, document corporate actions taken without holding meetings, approve general decisions on corporate laws, taxes and businesses, It aims to support readers who are responsible for housekeeping responsibilities. This book is most useful for small business with up to 35 shareholders and 50 employees. For large companies, it is highly likely that lawyers would like to handle most of these, but this book has great benefits for small family businesses.
This book starts with a very short chapter that advises you how to organize your company records and explore your own laws. In the second short section we have information on conferences, minutes, agreements, basically how to document corporate behavior. Next is the chapter on the procedure for holding a meeting and the format required for documenting it. From there, the chapter continues in a logical and simple form, preparing various resolutions such as how to hold directors and shareholders, various minutes, agreements, taxes, bylaws, conflicts, loans, etc. .
There is also a simple chapter on how to find the appropriate attorney or tax advisor. This has lots of very good information to pick up the 337 page book, do the right thing and help to fill out the form correctly. The memorandum of the book is an appendix. It contains information on how to use the CD-ROM included in this document, and all forms and information on identifying state offices and state laws online. I think that many people use the same format as written on the CD - ROM. If you put it in this book you can see them immediately and you will know whether it is necessary before using the enclosed disc.
This is a very useful guidebook for small and medium enterprises to keep company records accurate and up to date. There is only a sample form of what you need. If you have trouble keeping your records, please use this book in an easy way to understand which record to keep or easy to use.
